Saucy Bowl Terms of Service

1. Acceptance of Terms
These Terms of Service ("Terms") form a binding agreement between you ("you" or "Customer") and Saucy Bowl, LLC, a California limited liability company with its principal place of business at 4039 Reecer Dr, Rocklin, CA 95677 ("Saucy Bowl," "we," "us," or "our"), governing your access to and use of the Saucy Bowl website at saucybowl.us, our mobile applications, and any related services (collectively, the "Service").
By placing an order, creating an account, or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service.
2. Eligibility
You must be at least 18 years old and a resident of the United States to use the Service. By using the Service, you represent and warrant that:
- You meet the age and residency requirements above.
- You will provide accurate, current, and complete information when ordering.
- You have the legal capacity to enter into these Terms.
- Your use of the Service complies with all applicable laws.
3. The Service
Saucy Bowl operates a consumer-facing marketplace and ordering platform through which customers may order standardized Saucy Bowl-branded Indian bowl meals ("Saucy Bowl Orders"). Saucy Bowl Orders are prepared in the kitchens of independently owned and operated restaurant partners ("Partner Kitchens") using Saucy Bowl's standardized menu, recipes, packaging, and quality standards. Delivery, where offered, is performed by independent third-party delivery providers (e.g., DoorDash Drive) ("Couriers").
Saucy Bowl is the consumer-facing brand and marketplace operator. Partner Kitchens are independent contractors and are not employees or agents of Saucy Bowl. Couriers are independent contractors engaged through third-party services and are not employees or agents of Saucy Bowl.
4. Marketplace Facilitator and Merchant of Record
As between Saucy Bowl and the Partner Kitchen, Saucy Bowl is the merchant of record for Saucy Bowl Orders, including:
- Customer-facing receipts and order confirmations;
- Customer payment processing;
- Sales and use tax collection and remittance to the extent required by applicable law, including as a "marketplace facilitator" under California Revenue and Taxation Code § 6041 et seq. and similar laws of other states;
- Customer-facing refund decisions; and
- Chargeback administration.
5. Orders and Pricing
5.1 Prices and Fees
Prices for menu items are displayed in U.S. dollars and include the food item, sleeve, packaging, utensils, and napkin. Additional fees are itemized in the checkout flow and may include:
- Delivery Fee (for delivery orders)
- Service Fee
- Applicable state and local taxes
- Customer-designated tip (optional, passed through to the Partner Kitchen)
5.2 Honest Pricing (California SB 478)
Where required by applicable law, including California Business & Professions Code § 17500 et seq. and California's Honest Pricing Law (SB 478), Saucy Bowl displays the total price of any item, including all mandatory fees, before checkout. Government taxes and the customer's discretionary tip may be itemized separately.
5.3 Order Acceptance
Submitting an order does not guarantee acceptance. We reserve the right to refuse or cancel any order, including for reasons such as menu item unavailability, errors in pricing or description, suspected fraud, or Partner Kitchen unavailability. If your order is cancelled before fulfillment, you will not be charged or you will receive a full refund.
5.4 Order Modifications
After payment is confirmed, orders cannot generally be modified or cancelled by the customer. If you need to change or cancel an order, please contact us immediately at [email protected]. Cancellation requests received before the Partner Kitchen has begun preparation may be honored at our discretion.
6. Payment
6.1 Payment Processor
Payments are processed by Stripe, Inc. and its affiliates. By submitting payment information, you agree to Stripe's terms of service (https://stripe.com/legal). Saucy Bowl does not store your full payment card number. Stripe stores your payment information in accordance with PCI-DSS requirements.
6.2 Authorization
You authorize Saucy Bowl and Stripe to charge your payment method for the full order total, including all fees and applicable taxes. You represent that you are the authorized user of the payment method.
6.3 Failed Payments
If your payment is declined, your order will not be fulfilled. You are responsible for ensuring your payment method has sufficient funds and is in good standing.
7. Delivery
7.1 Third-Party Courier
Delivery is performed by independent third-party Couriers (e.g., DoorDash Drive). Saucy Bowl is not the deliverer of physical goods to your location. The Courier is responsible for the physical transport of your order from the Partner Kitchen to your designated delivery address.
7.2 Estimated Delivery Time
Delivery time estimates are best-effort and not guaranteed. Actual delivery time may vary due to traffic, weather, Partner Kitchen preparation time, courier availability, and other factors outside our reasonable control.
7.3 Delivery Address
You are responsible for providing an accurate, complete, and accessible delivery address. We are not liable for orders delivered to an incorrect address provided by you, or for orders that cannot be delivered due to inaccessible locations (e.g., locked gates, restricted buildings without doorman, etc.).
7.4 Contactless Delivery and Risk of Loss
Saucy Bowl Orders are dropped off contactless by default. Risk of loss and damage to your order transfers to you upon courier drop-off at the address you provided. If you believe your order was stolen or tampered with after drop-off, please contact us; we may offer a goodwill refund or credit at our discretion but are not contractually obligated to do so.
7.5 Pickup Orders
For pickup orders, you are responsible for picking up your order from the Partner Kitchen during the time window specified at order confirmation. Orders not picked up within [60] minutes of the stated ready time may be discarded without refund.
8. Refunds and Credits
8.1 Our Refund Policy
Saucy Bowl has sole discretion over customer-facing refunds, credits, and goodwill adjustments. We may issue full or partial refunds, store credits, or replacements for issues including:
- Missing items
- Incorrect items received
- Quality issues attributable to the Partner Kitchen
- Late preparation exceeding the stated prep window by more than 20 minutes
- Failed delivery attributable to the Courier
- Other reasonable customer service grounds
8.2 How to Request a Refund
Submit refund requests by email to [email protected] within 3 days of the order placement date. Late requests may be denied. Include your order ID and a description of the issue. Photo evidence of food quality issues is helpful.
8.3 Chargebacks
If you believe a charge is unauthorized, please contact us first before initiating a chargeback with your payment provider. Filing a chargeback for charges you authorized constitutes fraud and may result in suspension of your account.
9. Food, Allergens, and Dietary Information
9.1 Allergen Warning
Saucy Bowl Orders are prepared in kitchens that handle wheat, dairy, soy, tree nuts, peanuts, eggs, fish, shellfish, sesame, and other common food allergens. Cross-contact between menu items may occur and is generally not preventable in a multi-purpose kitchen environment.
If you have a food allergy, severe sensitivity, or special dietary requirement, you should consult with your physician before ordering and should not order if there is any risk of an allergic reaction. Saucy Bowl and Partner Kitchens cannot guarantee that any menu item is free from any specific allergen or contaminant.
9.2 Nutritional Information
Calorie counts and nutritional information displayed in the Service are estimates based on standardized recipes. Actual values may vary by Partner Kitchen, portion, ingredient sourcing, and preparation. The information is not a substitute for medical or nutritional advice.
9.3 Allergen Acknowledgment
By placing an order, you acknowledge that you have read and understood Sections 9.1 and 9.2 and agree to assume the risk of any allergic reaction or adverse food sensitivity event.
9.4 Foodborne Illness
While Partner Kitchens are required to comply with all applicable food safety laws and regulations, no food preparation process is risk-free. By using the Service, you acknowledge the inherent risks of food consumption and agree that you will follow safe food handling practices upon receipt (refrigerate within 2 hours, reheat to safe internal temperature, consume within 24 hours).
10. Substitutions
If a Partner Kitchen is out of a specific ingredient, Saucy Bowl or the Partner Kitchen may substitute the item with a reasonable alternative. If you have not consented to substitution, the affected item may be removed from your order and refunded.
11. Customer Obligations and Acceptable Use
You agree that you will not:
- Use the Service for any unlawful, fraudulent, or harmful purpose;
- Provide false, misleading, or fraudulent information when ordering;
- Use a stolen or unauthorized payment method;
- Reverse engineer, copy, modify, or create derivative works of the Service;
- Scrape, crawl, harvest, index, or otherwise extract data from the Service in any automated way;
- Resell Saucy Bowl Orders or use the Service for commercial purposes other than as expressly permitted;
- Harass, threaten, or abuse Partner Kitchen staff, Couriers, or Saucy Bowl personnel;
- Interfere with or disrupt the Service, including by uploading malicious code;
- Attempt to gain unauthorized access to any part of the Service.
Violations may result in suspension or termination of your access to the Service.
12. Intellectual Property
12.1 Saucy Bowl Property
Saucy Bowl owns or licenses all intellectual property rights in the Service, including the Saucy Bowl name, logo, trademarks, service marks, menu names, recipes, software, content, design, and trade dress. Nothing in these Terms grants you any rights in Saucy Bowl's intellectual property except the limited right to use the Service as a customer.
12.2 Limited License
We grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Service for your personal, non-commercial use as a customer, subject to these Terms.
12.3 User Content
If you submit reviews, ratings, photos, or other content to the Service ("User Content"), you grant Saucy Bowl a worldwide, royalty-free, non-exclusive, perpetual, transferable, sublicensable license to use, reproduce, modify, distribute, publicly display, and create derivative works of the User Content in connection with the Service and Saucy Bowl's marketing. You represent that you own or have the necessary rights to submit User Content and that it does not infringe any third party's rights.
You agree not to submit User Content that is unlawful, defamatory, obscene, infringing, fraudulent, or otherwise objectionable. We may remove User Content at our discretion.
13. Communications
13.1 Email
By placing an order, you consent to receive transactional emails relating to your order (confirmations, status updates, receipts). You may opt into promotional emails separately; you can opt out at any time using the unsubscribe link in any promotional email.
13.2 SMS / Text Messages
By providing a mobile phone number, you consent to receive transactional SMS messages relating to your order, including delivery status updates. Message and data rates may apply. You may opt out of SMS messages by replying STOP to any text message. Opting out of SMS may delay or prevent order status updates. This consent is not a condition of purchase except where required for order delivery notifications.
13.3 Push Notifications
If you install a Saucy Bowl mobile app, you may receive push notifications relating to your order. You may disable push notifications in your device settings.
14. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, SAUCY BOWL DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.
WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS. WE DO NOT WARRANT THAT ANY PARTICULAR MENU ITEM IS FREE FROM ALLERGENS OR CONTAMINANTS, OR THAT NUTRITIONAL INFORMATION IS EXACT.
Some jurisdictions do not allow the exclusion of certain warranties. To the extent any disclaimer is not enforceable in your jurisdiction, the disclaimer applies to the maximum extent permitted by law.
15. Limitation of Liability [CONFIRM]
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL SAUCY BOWL OR ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE, EVEN IF SAUCY BOWL HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
SAUCY BOWL'S AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO SAUCY BOWL IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY OR (B) ONE HUNDRED DOLLARS ($100).
The above limitations do not apply to: (i) liability for bodily injury or death caused by Saucy Bowl's gross negligence or willful misconduct; (ii) liability that cannot be limited under applicable law; or (iii) fraud or fraudulent misrepresentation.
Some jurisdictions do not allow the limitation or exclusion of certain damages. To the extent any limitation is not enforceable in your jurisdiction, the limitation applies to the maximum extent permitted by law.
16. Indemnification
You agree to indemnify, defend, and hold harmless Saucy Bowl and its officers, directors, employees, contractors, agents, successors, and assigns from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:
- Your breach of these Terms;
- Your violation of any law or third-party right;
- Your User Content;
- Your misuse of the Service.
17. Termination
We may suspend or terminate your access to the Service at any time, with or without cause and with or without notice, including for violations of these Terms, suspected fraud, or risk to Saucy Bowl, Partner Kitchens, Couriers, or other customers. Upon termination, your right to use the Service ceases immediately. Sections that by their nature should survive termination (including Sections 4, 8, 9, 12, 14, 15, 16, 18, 19, and 20) will survive.
18. Governing Law and Venue
These Terms are governed by the laws of the State of California, without regard to its conflicts of law principles. The U.N. Convention on Contracts for the International Sale of Goods does not apply.
Subject to the arbitration provisions in Section 19, you and Saucy Bowl irrevocably consent to the exclusive jurisdiction of the state and federal courts located in San Francisco County, California for any disputes not subject to arbitration.
19. Dispute Resolution [CONFIRM — Arbitration + Class Action Waiver]
19.1 Informal Resolution
Before initiating any formal proceeding, you agree to first try to resolve the dispute informally by contacting Saucy Bowl at [email protected] and providing a written description of the dispute. The parties will negotiate in good faith for 30 days before initiating arbitration.
19.2 Binding Arbitration
If informal resolution fails, any dispute arising out of or relating to these Terms or the Service will be resolved exclusively by binding individual arbitration, conducted by a single arbitrator under the JAMS Streamlined Arbitration Rules (https://www.jamsadr.com/rules-streamlined-arbitration). The arbitration will be conducted in San Francisco County, California, and may be conducted virtually if either party requests.
The arbitrator will have exclusive authority to resolve all threshold issues of arbitrability, including whether a claim is subject to arbitration.
19.3 Class Action Waiver
YOU AND SAUCY BOWL AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION. Unless both you and Saucy Bowl agree otherwise, the arbitrator may not consolidate or join more than one person's claims and may not preside over any form of representative or class proceeding.
19.4 Exceptions to Arbitration
The following claims are not subject to arbitration: (i) small-claims court actions for claims within the court's jurisdictional limit; (ii) actions for injunctive relief to protect intellectual property; (iii) other claims that, under applicable law, may not be subject to arbitration.
19.5 Right to Opt Out of Arbitration
You may opt out of the arbitration agreement in Section 19.2 and the class action waiver in Section 19.3 by sending written notice to [email protected] within 30 days of first using the Service. Your notice must include your name, address, and a clear statement that you are opting out of arbitration. Opting out has no other effect on these Terms.
19.6 Severability of this Section
If any portion of this Section 19 is held unenforceable, the remaining portions remain in effect. If the class action waiver in Section 19.3 is held unenforceable, then the entire arbitration agreement in Section 19.2 will be void.
20. California-Specific Notices
20.1 Your California Privacy Rights
California residents have specific rights regarding their personal information under the California Consumer Privacy Act, as amended by the California Privacy Rights Act ("CCPA/CPRA"). Please review our Privacy Policy for details, including your rights to access, delete, correct, and limit the use of your personal information, and how to exercise those rights.
20.2 California Sales Tax
Saucy Bowl is registered with the California Department of Tax and Fee Administration (CDTFA) as a marketplace facilitator and collects and remits applicable California sales and use tax on Saucy Bowl Orders to the extent required by law.
20.3 California Statutory Notice (Cal. Civ. Code § 1789.3)
Under California Civil Code § 1789.3, California users are entitled to the following consumer rights notice: You may contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs by mail at 1625 North Market Blvd., Suite N 112, Sacramento, CA 95834, or by telephone at (800) 952-5210.
21. Privacy
Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to our collection, use, and disclosure of your information as described in the Privacy Policy.
22. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we will provide notice by posting the updated Terms on the Service with an updated "Last Updated" date and, where appropriate, by sending an email notice to the email address associated with your most recent order. Material changes become effective 30 days after notice. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
23. Miscellaneous
23.1 Entire Agreement
These Terms, together with the Privacy Policy and any order confirmation, constitute the entire agreement between you and Saucy Bowl with respect to the Service.
23.2 Severability
If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full effect.
23.3 No Waiver
Saucy Bowl's failure to enforce any right or provision of these Terms is not a waiver of that right or provision.
23.4 Assignment
You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign these Terms without notice in connection with a merger, acquisition, reorganization, sale of substantially all assets, or financing.
23.5 No Third-Party Beneficiaries
These Terms do not create any third-party beneficiary rights, except that Stripe is an intended third-party beneficiary of Section 6 and Couriers are intended third-party beneficiaries of Section 7.
23.6 Interpretation
Headings are for convenience only and do not affect interpretation. "Including" means "including without limitation." References to statutes include amendments and successors.
23.7 Electronic Signatures
You agree that your electronic submissions (placing orders, clicking accept buttons, etc.) constitute your agreement and intent to be bound by these Terms, equivalent to your written signature, under the federal E-SIGN Act and California Uniform Electronic Transactions Act.
